Assistant General Counsel (Corporate)
Own TRM Labs' corporate legal function, leading transactions, equity financings, governance frameworks, compliance infrastructure, and AI-enabled legal operations while advising senior executives.
Responsibilities
- Lead M&A transactions, strategic investments, and equity financings as primary deal counsel.
- Design AI-assisted due diligence workflows to reduce deal-cycle time and outside counsel spend.
- Build corporate governance infrastructure, including board processes, committee charters, equity plan governance, and compliance frameworks.
- Advise the CLO, CEO, and VP of Finance on corporate law matters.
- Bring high-frequency corporate work in-house and create reusable templates, playbooks, and self-service tools.
- Own multi-entity global compliance and build AI-assisted obligation-tracking workflows.
- Develop scalable transaction, governance, and legal-operations infrastructure.
Requirements
- 10+ years of corporate legal experience with lead-counsel ownership of M&A, equity financings, or strategic investments.
- Active US bar admission and a JD from an ABA-accredited law school.
- In-house experience at a high-growth technology company.
- Daily practical fluency with AI tools such as Claude or Gemini and the ability to design AI-assisted legal processes.
- Ability to run transactions independently with minimal supervision.
- Ability to advise senior executives and communicate complex legal positions clearly.
- Strong drafting and negotiation skills across M&A, investment, financing, and governance documents.
- Experience building scalable legal infrastructure, templates, playbooks, or self-service tools.
