Associate General Counsel, Energy and Infrastructure
This role provides legal drafting, diligence, and oversight for Hut 8's energy and related infrastructure strategy. The position focuses on negotiating power-related agreements, managing legal risks associated with generation, interconnection, and transmission capacity, conducting diligence for acquisitions of powered land and infrastructure assets, and aligning energy obligations with construction schedules, financing covenants, and customer commitments.
Responsibilities
- Drive negotiations for interconnection agreements, shared facilities, co-tenancy agreements, transmission service agreements, distribution arrangements, and other utility infrastructure agreements.
- Negotiate and structure power supply agreements, energy service agreements, retail energy supply agreements, and ancillary service arrangements.
- Provide legal analysis of utility tariffs and rate structures.
- Monitor policies and regulations affecting generation procurement, interconnection, transmission, distribution, and power procurement.
- Own power-related portions of project financing deliverables, including diligence requirements and lender covenants.
- Prepare and negotiate letters of intent, asset purchase agreements, and membership purchase agreements for power-related asset acquisitions.
- Manage legal risks and disputes related to operating assets.
- Direct energy-specific outside law firms with a focus on budget control and internalizing institutional knowledge.
Requirements
- Deep knowledge of the North American power grid, including interconnection, transmission, distribution approval processes, and complex tariff structures.
- Deep familiarity procuring power in regulated utility markets and competitive retail energy markets.
- Proven track record of lead-negotiating multi-party infrastructure deals.
- Ability to identify and mitigate regulatory and operational dependencies, including curtailment risks and upgrade obligations.
- Ability to advise cross-functional teams in Strategic Transactions, Finance, and Development as an energy subject-matter expert.
