In-House Legal Counsel Vice President
Overview
You will advise the branches of Intesa Sanpaolo S.p.A. located in the MEA region and work under the supervision of the International Network Legal Advisory Department in Head Office.
What you'll be doing
Key responsibilities will be:
- Provide legal advice to all business and non-business areas of Intesa Sanpaolo S.p.A. branches located in the MEA region
- Draft, review and negotiate corporate banking documentation - for example, confidentiality agreements, banking mandates, term sheets
- Draft, review and negotiate security/quasi security documentation - for example, guarantees, mortgages, pledges
- Advise on distressed debt, restructurings, workouts, hedging and related documentation
- Trade finance, being trade finance instruments, documentary credits, supply chain finance programme documentation, pre-export finance, pre-payments finance, discounting of receivables, etc.
- Advise on insolvency and litigation issues
- Review documentation related to capital markets, project finance, leveraged finance, structured finance, potential mergers and acquisitions, etc.
- Draft, review and negotiate non-core business documentation - for example, IT contracts, property related contracts
Who we are looking for
If you want to turn your passion into a career and you have the following characteristics, we are waiting for you:
- 5-7 years of experience in the role
- UK, US or Australian qualified solicitor/lawyer
- Training from an international law firm
- Experience from an in-house role at an international bank
