Legal Counsel

ROLE
Reporting directly to the Board of Directors, the Legal Counsel will handle all legal matters of the Company from supporting fund-related legal work and the Company's general commercial contracting needs.

This includes drafting and reviewing legal documentations, providing legal advice internally and overseeing the corporate compliance matters of the Company.

RESPONSIBILITIES

• Provide advice and support to management and staff on legal related matters and regulations, etc.
• Provide internal legal support to the business. Including but not limited to drafting and reviewing of fund documents, agreements and other documentation relating to the Company’s business.
• Support on all aspects of regulatory requirements, keeping abreast of regulatory developments, assessing potential impact to the Company and provide updates to the Board of Directors.
• Identify legal and enforceability risks, propose practical positions, and help business teams move matters forward with appropriate guardrails.
• Manage and coordinate external counsel in Singapore and other relevant jurisdictions on complex or specialist matters.
• Prepare quarterly reports/ annual reports on legal for submission to the Board of Directors.
• Perform related tasks assigned from time to time.

QUALIFICATIONS AND EDUCATION REQUIREMENTS

Has a degree or diploma in Law.

Has at least 3 years prior experience in a legal capacity, ideally gained in a funds, private equity, asset management or strong corporate practice, with some in-house or business-facing exposure preferred.

Experience handling fund management, investment or financial services documentation in a regulated environment.

PREFERRED SKILLS

Has a good understanding of the Securities and Futures Act.

Good command of English and Mandarin. Both written and spoken.

Has a good understanding of the Singapore Legal framework.

Has good contract drafting skills.

Good interpersonal skills and team player.

Ability to work independently, with integrity and responsibility.

Solution-oriented and a positive attitude to work on legal and compliance issues.
