Senior Contracts Lawyer

You lead complex pre-M&A contract negotiations and manage key relationships with investment fund and asset manager clients. You supervise external counsel, improve legal technology adoption, mentor junior lawyers and paralegals, maintain clause libraries and playbooks, and align legal advice with business objectives.

Responsibilities

• Lead complex pre-M&A contract negotiations
• Manage multi-party agreements
• Own key client relationships
• Manage external counsel instructions and supervision
• Improve Carta's legal technology suite
• Identify, pilot, and embed new legal technology capabilities
• Mentor and develop junior lawyers and senior paralegals
• Review work and provide structured feedback
• Maintain the standard clause library
• Evolve the cross-client playbook framework
• Align legal advice with business objectives
• Manage external counsel spend

Requirements

• UK, European, US, or Canadian law license
• 5+ years of post-qualification experience
• Complex pre-M&A negotiation experience
• Cross-border and multi-jurisdictional matter experience
• Financial services client experience
• Expertise with Carta Ava
• Expertise with HighQ
• Expertise with CLM and e-signature platforms
• Legal technology adoption
• External counsel management
• Legal advice aligned with business objectives
